Guidance in Establishing a Nonprofit Organization

Here are the steps to establishing a nonprofit organization:

Step 1: Founding Members
According to the law, a nonprofit organization requires at least seven founding members, all over the age of 18. This registration is binding, meaning that the founders bear the responsibility for managing the organization in accordance with legal requirements.

Step 2: Registration with the Registrar of Nonprofits
This stage involves registering the organization with the Registrar of Nonprofits, which includes submitting documents that specify the organization's name, objectives, bylaws, authorized signatories, board members, and audit committee members. We assist in drafting bylaws that fit the organization's activities, including filing for tax benefits for donors (Section 46 approval). Additionally, we have an attorney available to sign an affidavit confirming your commitment to proper management as required by law.

Step 3: Payment of Fees
To register a nonprofit, you must pay a one-time registration fee and an annual fee that is renewed every year based on the rates set by the Ministry of Justice.

Step 4: Opening a Bank Account
Once the organization is registered, a dedicated bank account must be opened, including checkbooks and receipts for financial activities.

Establishing a Public Benefit Company (PBC)

Step 1: Seven Shareholders
The first step is to identify seven shareholders, all over the age of 18, who will be registered as the company's shareholders.

Step 2: Registration with the Registrar of Companies
Establishing the company with the Registrar of Companies, ensuring that all legal requirements are met.

Step 3: Registration with the Tax Authorities
To establish a PBC, it must be registered with the tax authorities.
